Terms of Service

Agreement

These Terms of Service ("Terms") are a legal agreement between you and TP Labs LLC, a Wyoming limited liability company ("TP Labs", "we", "us"), and govern your access to and use of the TermPuzzle desktop application and the website at termpuzzle.com (together, the "Service"). By downloading, installing, activating, subscribing to, or using TermPuzzle, you agree to these Terms. If you do not agree, do not use the Service.

In plain language: TermPuzzle is a local-first desktop application that helps organize development workspaces, terminals, editors and AI-assisted workflows. By default, your code, file contents, terminal output and AI conversations stay on your machine and are never uploaded to us; an optional Cloud Sync feature (off by default) can sync your workspace setup — such as project names, saved commands and paths — across your devices. Your license works on up to two devices at the same time, you can cancel your subscription at any time, and you have 30 days to request a full refund if TermPuzzle isn't for you.


1. The Service

TermPuzzle is a local-first desktop application designed to help users organize, launch and manage development workspaces across macOS, Windows and Linux. A workspace may include terminal sessions, commands, editor windows, layouts, project configurations, AI-assisted development tools and workspace definitions.

We may update, improve, modify, add or remove features as the Service evolves, subject to Section 19 (changes) and to any mandatory rights you have as a consumer.

2. Eligibility

You must be at least 16 years old, or the age of digital consent in your jurisdiction, and capable of entering into a legally binding agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. License to Use TermPuzzle

Subject to these Terms and an active Subscription, TP Labs grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to install and use TermPuzzle ("License"). The License may be used for personal, commercial or professional purposes. A License grants rights of use only: it does not transfer ownership, title, or any intellectual-property rights in the Service.

Devices. A "Device" means a physical or virtual computer, workstation, server, or other computing environment from which you use TermPuzzle — including virtual machines and containers. Each License may be activated on up to two (2) Devices at the same time. You may move your License to another Device by deactivating an existing activation.

4. Subscriptions, Billing and Renewals

TermPuzzle is offered on a subscription basis. A "Subscription" is a time-based arrangement under which your License is granted or maintained for a recurring or renewable period. Payments are processed by Lemon Squeezy, which acts as the Merchant of Record for purchases: your purchase contract for payment purposes is with Lemon Squeezy, which collects and remits applicable taxes and issues invoices, while your License comes from TP Labs under these Terms.

5. Refunds

We offer a 30-day money-back guarantee: request a full refund within 30 days of your initial purchase, no questions asked, at support@termpuzzle.com or through Lemon Squeezy. Refunded license keys are deactivated.

This voluntary guarantee is in addition to — and never limits — any mandatory consumer rights or statutory withdrawal rights under applicable law, including the EU 14-day withdrawal right.

6. License Validation and Activation

To activate and maintain a Subscription, TermPuzzle periodically validates your License. During validation the application sends: license key, subscription identifier, a pseudonymous installation identifier, and application version. This information is used solely for subscription verification, Device-limit enforcement, fraud prevention and license management.

We may suspend or deactivate Licenses in cases of fraud, abuse, chargebacks, non-payment, or violation of these Terms — with notice and an opportunity to resolve the issue where practicable.

7. Offline Use

TermPuzzle is designed to function offline. Following a successful license validation, the application continues operating without internet connectivity for up to fourteen (14) days. If a Subscription cannot be revalidated after that grace period, licensed features may become unavailable until validation succeeds.

Your locally stored projects, files and workspace data remain on your device and are never deleted by TermPuzzle as a result of subscription expiration.

8. Your Responsibilities

You are solely responsible for: the commands you configure and execute; the projects you manage; any code executed through your workspaces; any third-party software connected to the Service; compliance with applicable laws and licenses; and maintaining backups of your own data.

TermPuzzle launches and organizes workflows you define. You are responsible for the consequences of actions performed through those workflows.

9. Your Data

TermPuzzle is a local-first application. Your data remains under your control. By default — and always, unless you enable the optional Cloud Sync feature described below — TermPuzzle does not collect, upload, process or store: source code, file contents, workspace file contents, terminal output, terminal scrollback, or AI prompts and conversations. This data never leaves your device.

Optional Cloud Sync (off by default). If you sign in and enable Cloud Sync, TermPuzzle synchronizes your workspace definitions across your devices by storing them in our backend, isolated to your account: project names, the working-directory paths and any commands you have saved in a terminal specification, terminal groups, AI-crew configuration, and application settings. Cloud Sync never uploads your source code, file contents, terminal output, or AI conversations — only the definitions above. You may disable Cloud Sync at any time, and your synced data can be deleted on request. This processing is described in our Privacy Policy.

Anything you create using TermPuzzle remains your property. TP Labs acquires no ownership interest in your content through your use of the Service. We do not sell your content, and we do not use it — or any other customer data — to train AI or machine-learning models, absent your separate, explicit opt-in consent.

10. AI Tools and AI Content

TermPuzzle may be used alongside third-party AI tools, coding assistants and agents (for example Cursor, Claude Code, GitHub Copilot, Gemini CLI and similar products). TermPuzzle does not access, inspect, store or transmit: AI prompts, AI conversations, AI-generated responses, agent memory, context windows, or AI-generated code.

Your interactions with third-party AI services are governed by their respective terms and privacy policies. AI tools provide assistance; you remain responsible for reviewing and approving anything they produce.

11. Usage Analytics

To improve the Service, TermPuzzle collects limited usage analytics tied to a pseudonymous installation identifier. Analytics may include: application version, operating system, workspace creation/launch events, license activation events, and general feature-usage statistics.

Analytics never include: source code, file contents, project names, file paths, terminal commands, terminal output, AI prompts or AI conversations.

You can disable usage analytics at any time in the application settings. Because the installation identifier is pseudonymous rather than anonymous, this data is handled as described in our Privacy Policy.

12. Third-Party Services

The Service relies on or integrates with third-party services not owned or controlled by TP Labs, including:

13. Intellectual Property

TermPuzzle — including its software, website, branding, documentation, design, logos and related materials — is owned by TP Labs or its licensors and protected by applicable intellectual-property laws. These Terms grant a License to use the Service, not ownership of it. All rights not expressly granted are reserved.

14. Experimental Features

We may release beta, preview, experimental or early-access features ("Beta Features"). Beta Features may be modified, restricted or removed without notice and may not perform as reliably as generally available features. They are provided "as is" to the extent permitted by law; nothing in this section limits mandatory consumer guarantees that apply to the Service.

15. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, availability and reliability. We do not guarantee uninterrupted, error-free or completely secure operation.

If you are a consumer, you may have statutory guarantees (including conformity of digital content and the supply of necessary updates) that this section does not and cannot limit.

16. Limitation of Liability

To the maximum extent permitted by law, TP Labs shall not be liable for indirect, incidental, special or consequential damages, loss of profits, revenue, business opportunities or data, arising from or related to the use of, or inability to use, the Service.

Our total aggregate liability for all claims shall not exceed the greater of: (a) the amounts paid by you in the twelve (12) months preceding the claim; or (b) USD $50.

Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; gross negligence or willful misconduct; or any liability that cannot be excluded or limited under applicable law. If you are a consumer, mandatory protections of the law of your habitual residence apply.

17. Indemnification

If you use the Service in the course of business, you agree to indemnify TP Labs from third-party claims, damages and reasonable costs arising from: your misuse of the Service; your violation of these Terms or applicable law; or your infringement of third-party rights. This section does not apply to consumers where such clauses are restricted by mandatory law.

18. Termination; Survival

You may stop using the Service and cancel your Subscription at any time. We may suspend or terminate access if you materially violate these Terms, engage in fraud or abuse, or use the Service unlawfully — with notice and an opportunity to cure where practicable.

Upon termination your License ends. Your locally stored data remains on your device and is not deleted by us.

Survival. The following survive any termination or expiration of these Terms: accrued payment obligations (until paid); intellectual-property ownership and License restrictions; limitations of liability; governing law and forum; and confidentiality obligations according to the nature of the information (personal data remains governed by applicable privacy and retention rules, not by this clause). Licenses to use, Support and update entitlements end with the Terms.

19. Changes to the Service and Terms

We may modify these Terms as the product and the law evolve. For material changes we will notify you actively (by email to your purchase address and/or in-app notice) before the changes take effect; for paid Subscriptions, material changes take effect at your next renewal, never mid-period. Each version of these Terms is dated and archived, and our records preserve which version you accepted and when. If you do not agree to a material change, you may cancel before it takes effect. Where applicable consumer law requires your affirmative consent to a change, we will request it.

20. Export and Sanctions Compliance

You represent that you are not located in a jurisdiction subject to comprehensive sanctions and are not a sanctioned or restricted party. You agree not to use, export or re-export the Service in violation of applicable export-control and sanctions laws.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, USA, excluding conflict-of-law rules. Business disputes shall be resolved exclusively in the state or federal courts located in Wyoming.

If you are a consumer, the mandatory protections of the law of your country of habitual residence apply notwithstanding the choice above, and you may bring or defend claims in the courts of your home country where your local law so provides, and small-claims court remains available to you. Either party may seek injunctive relief for intellectual-property infringement or breach of confidentiality in any court of competent jurisdiction.

22. Controlling Language

These Terms are written in English, and the English version controls. Any translation we provide is offered as a courtesy for convenience only; in the event of any conflict or inconsistency between the English version and a translation, the English version prevails, except where mandatory local consumer law requires otherwise.
